The Company Registration Act of 2012


An act to establish a system for the registration of businesses; establish penalties and a system of enforcement for unregistered businesses; create a system of investigation allowing consumers redress against businesses trading unlawfully or unfairly and to allow for the removal and suspension of registered business status.

[19th January 2012]

BE IT ENACTED by the Legislature of the City of Los Santos:—

1 Creation of a department to manage business registration
    The Mayor shall make an order not later than the 31st January 2012 creating a department responsible for the discharge of duties arising from and pursuant to this Act ("the registration authority").

2 Creation of a set of regulations and system of registration for registered businesses
    The Mayor shall make an order not later than the 31st January 2012—
      (1)setting out regulations for registered businesses ("the regulations")
      (2) and creating a system of registration for businesses ("the registration procedures")

3 Liability of business owners to register their businesses
    (1) The owner of a business shall be liable to ensure that the business is registered and discharges all of its liabiltites under this Act
    (2) Where a business has multiple stakeholders, is a patnership, or a limited liability company, then each stakeholder, partner or director shall be held to be severally liable and for the purposes of this Act shall be considered to be the "authorized person" of the business
    (3) Any business which has three or more persons in its employ shall be registered in accordance with the registration procedures
    (4) The owner or authorized person of a business required to register pursuant to subsection (3) of this section shall be required to submit an application for registration in accordance with the registration procedures within 14 days of the business becoming liable

4 Voluntary business registration for exempted businesses
    (1) The owner or authorized person(s) of a business shall be permitted to voluntarily submit to the jurisdiction of this Act by registering in accordance with the registration procedures
    (2) The owner or authorized person(s) of a business may at any time disregard their registration, provided that—
      (a) there is no investigation under way by the registration authority in respect of suspected breaches of the regulations
      (b) the business would not otherwise be liable to register under section 2 subsection (3) of this Act

5 Offences
    (1) The owner or authorized person of a business commits an offence if, without reasonable excuse, he—
      (a) fails to register a business for which there is a requirement of registration created by section 3 (3) of this Act
      (b) knowingly submits false or inaccurate information to the registration authority
      (c) knowingly breaches the regulations
      (d) obstructs any investigations that the registration authority carries out in accordance with section 6 of this Act
    (2) Where a person is convicted of an offence under this section, the court may by order disqualify the person, for a period not exceeding 6 months, from being the owner of a registered business, except where the offence is the failure to register a business
    (3) A prosecution for an offence under this section is not to be instituted except by or on behalf of the registration authority
    (4) A person who is guilty of an offence under—
      (a) subsection(1)(a) of this section is liable to pay on conviction a fine not exceeding $10,000
      (b) any other part of this section is liable to pay on conviction a fine not exceeding $20,000

6 Complaints and investigations
    (1) When making an order pursuant to section 2 subsection (1) of this Act, the Mayor shall create a system ("the complaints procedure") to allow for the investigation of allegations made against a business—
      (a) which claim that the business is acting in breach of the regulations
      (b) which claim the the business is acting in breach of any other law
      (c) which claim that the business is acting in a manner detrimental to public safety, the peace, or public health
    (2) The registration authority shall not make public details of any allegations during the course of an investigation
    (3) The registration authority acting in accordance with the complaints procedure shall investigate allegations and as a result shall—
      (a) prosecute under section 5 of this Act
      (b) revoke registration under section 7 of this Act
      (c) make a report to the local police if there is evidence of criminal activity
      (d) take no further action
    (4) The registration authority shall be entitled to apply to the relevant authority for a warrant to search premises under this Act if it can be shown there is probable cause to believe that an offence is taking place

7 Suspension and annulment of registration
    (1) The registration authority may suspend or annul the registered status of a business where—
      (a) the business has been identified by the Chief Officer of the local police as making a significant contribution to crime and disorder
      (b) the owner or authorized person has failed to make any payments required by the regulations within 21 days from the on which they were due
      (c) the owner or authorized person has knowingly and without reasonable excuse failed to comply with or breached the regulations and a period of more than 21 days has passed from the date when the owner or authorized person was informed of the breach of regulations

8 Short title and commencement
    (1) This Act may be cited as the Company Registration Act 2012
    (2) Sections 1 and 2 of this act shall come into force on the date on which this Act is passed but otherwise this act shall come into force on such date as may be appointed by order made by the Mayor
    (3) Different dates may be appointed for different sections and for different purposes
